These Terms of Use ("Terms") govern your access to and use of the Site and services provided by Incogniq ("Services"). By accessing or using the Services, you agree to be bound by these Terms.

1. Services

We provide consulting, implementation, and support related to AI integrations, workflow automation, and IT services. The scope, timelines, and deliverables will be defined in a written Statement of Work ("SOW") or agreement.

2. Accounts & Access

You agree to provide accurate information and maintain the confidentiality of any credentials. You are responsible for all activities under your account.

3. Client Responsibilities

You agree to:

  • Provide timely access to required systems, data, and stakeholders

  • Ensure you have rights to any data you provide

  • Comply with applicable laws and regulations

4. Fees & Payments

Fees are as specified in your SOW or invoice. Payments are due according to the agreed terms. We may suspend services for non-payment.

5. Intellectual Property

  • Client Materials: You retain ownership of materials you provide.

  • Deliverables: Unless otherwise stated in writing, upon full payment, you receive a license to use deliverables for internal business purposes.

  • Pre-Existing IP: Each party retains ownership of their pre-existing intellectual property.

6. Confidentiality

Both parties agree to keep confidential information private and use it only to perform under the agreement.

7. Data Protection

We will handle personal data in accordance with our Privacy Policy and applicable law. Clients are responsible for their own compliance obligations related to data they control.

8. Warranties & Disclaimers

Services are provided on a professional, commercially reasonable basis. Except as expressly stated, the Services are provided "as is" without warranties of any kind, express or implied.

9. Limitation of Liability

To the maximum extent permitted by law, Incogniq shall not be liable for indirect, incidental, special, consequential, or punitive damages. Our aggregate liability shall not exceed the amounts paid by you to Incogniq in the six (6) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Incogniq from claims arising from your misuse of the Services or violation of these Terms.

11. Term & Termination

Either party may terminate as set forth in the SOW. Upon termination, outstanding fees become immediately due, and access to Services may be suspended.

12. Refund Policy (Important)

We are committed to fair, transparent billing and fast issue resolution for our customers and clientele at-large. 

a) 7‑Business‑Day Satisfaction Guarantee
All service fees and charges are 100% refundable if the customer submits a written refund request within seven (7) business days of service delivery. This applies to all services offered by Incogniq, including consulting, AI integrations, implementation work, and support services.

b) How to Request a Refund & Processing Timeline

  • To request a refund or raise a billing question, contact: billing@incogniq.com

  • For formal complaints, high‑level escalations, or compliance matters, contact: compliance@incogniq.com

  • Once a valid request is received and verified, the refund will be processed within two (2) business days.

  • Refunds are issued to the original payment method used for the transaction, in accordance with card network and processor rules, unless otherwise required by law.

c) Scope & Method of Refunds

  • Approved refunds cover 100% of the amounts paid for the applicable service(s) when requested within the guarantee window.

  • Processing times for funds to appear may vary by bank or payment provider and are outside our direct control.

d) Chargebacks & Dispute Resolution
We strongly encourage customers to contact us first so we can resolve any issue quickly and fairly under this policy. We are committed to working in good faith to resolve concerns before any chargeback or payment dispute is initiated, consistent with Stripe, PayPal, and card network dispute guidelines.

e) Fair Use & Abuse Prevention
This guarantee is intended to ensure customer confidence and satisfaction. We reserve the right to limit or deny refunds in cases of suspected abuse, fraud, or bad‑faith use of services (including, without limitation, repeated refund requests, intentional misuse of deliverables, or attempts to obtain services without payment). Any such determination will be made in a reasonable, good‑faith manner and in compliance with applicable laws and payment processor rules.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

14. Changes to Terms

We may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance.
